General Overview
Athlyts is a cloud-based software platform that allows athletes and their coaches, parents, clubs, federations, doctors and therapists to monitor and analyze the performance of athletes and use it as a planning tool to increase performance, reduce and/or treat injuries. Athlyts is not a contract party to the training and care contract between the mentioned parties, it only acts as a communication and technology service provider for the mentioned parties.
Athlyts collects and processes athlete's personal data:
a) provided by the athlete themselves, or
b) provided by the athlete's coaches, clubs, federations, doctors and therapists, and
c) collected by performance monitoring devices used by the athlete if applicable.
Athlyts process the athlete's personal data, including health data, for the purposes of delivering and improving the services described on Athlyts. The athlete's personal data will be disclosed to parents or legal guardians, coaches, clubs, federations, doctors and therapists, along with other parties but only if the athlete has invited them via the platform, or if the athlete has accepted the invitation to share their personal data. The collection, processing and disclosure of athlete's personal data is described in more detail in Athlyts Data Protection and Privacy Policy (the "Privacy Policy"), which you can find in its entirety at https://athlyts.com/privacy.
Athlyts AG, incorporated in the canton of Zurich, Switzerland with commercial registry number CHE-201.504.600, as the owner of the "Athlyts" brand, its Intellectual Property, its services as well as all its rights and obligations ("Athlyts", "we", "us" and terms of similar meaning) provides this website and the services provided by or through this website to you subject to these terms and conditions of use (these "Terms") as well as the Data Protection and Privacy Policy (the "Privacy Policy". By accepting these Terms you also accept the Privacy Policy.
IF YOU REGISTER FOR A FREE TRIAL OR FREE TIER FUNCTIONALITY OF OUR SERVICES, THIS AGREEMENT WILL ALSO GOVERN THAT FREE TRIAL OR FREE TIER. In these terms we call this website, any successor websites (together, the "website") and the software we provide the "Application". The Application includes your use of any software or services provided by third parties through the Athlyts Add-on Store for use with the Application (in these Terms we call these third party software or services "Add-ons"). We refer to the services provided by the Application as the "Services". Please read these Terms and Conditions ("Terms") carefully before using the Services. By accessing or using the Services you agree to be fully and legally bound by these Terms and all terms, policies and guidelines incorporated by reference in these Terms. If you do not agree with these Terms in their entirety, you may not use the Services. In these Terms, our Administrators and the persons to whom they give "staff" or "advisor" access to their Athlyts account are called "Subscribers", and our Administrators' athletes who use the Services (for example, to view or enter recovery and training feedback) are called "Athletes". In these Terms users of the Services, whether they are Subscribers, Administrators, members of the Athlyts forum, people who post comments on the Athlyts blog, or casual browsers of the website, are called "Users". Athlyts reserves the right to change or modify any of the terms and conditions contained in these Terms, or any policy or guideline applicable to the Services, at any time and in its sole discretion. If we do so, we will notify you at the email address you provide in your registration information, if any, or we will post a notice in the Application visible to you the next time you access the Application. If you do not agree with the changes, you can cancel your account with us without further obligation, except for the amount due for the balance of the billing period in which you cancel your account (if your billing period is monthly, we will prorate your account to the nearest month-end after cancellation). Unless otherwise specified, any changes or modifications will be effective immediately upon posting of the revisions on the website, and your continued use of the Services after such time will constitute your acceptance of such changes or modifications. You should from time to time review the Terms and any policies and documents incorporated in them to understand the terms and conditions that apply to your use of the Services. The Terms will always show the ‘last updated' date at the top. If you do not agree to any amended Terms, you must stop using the Services. If you have any questions about the Terms, please email us at privacy@athlyts.com. The Services are for your own use only. You may not resell, lease or provide them in any other way to anyone else, except as expressly permitted through the Application.
1. Privacy Policy
1.1 Please refer to Athlyts's Data Protection and Privacy Policy, available at the Athlyts website at https://athlyts.com/privacy for information on how Athlyts collects, uses and discloses personally identifiable information from its Users.
1.2 By using the Services you agree to our use, collection and disclosure of personally identifiable information in accordance with the Data Protection and Privacy Policy.
2. Free Trial/Free Tier
2.1 If You register on our website for a free trial or the free level of functionalities, we will make one or more Services available to you free of charge until the earlier of
a) the end of the free trial period for which you registered to use the applicable Service(s), or
b) the start date of any Purchased Service subscriptions ordered by you for such Service(s).
2.2 Additional trial terms and conditions may appear on the trial registration web page. Any such additional terms and conditions are incorporated into this Agreement by reference and are legally binding.
3. Registration Data; Account Security
3.1 If you register for an account on the Services, you agree to
a) provide accurate, current and complete information as may be prompted by any registration forms on the Services (" Registration Data");
b) maintain the security of your password and your API key (if applicable);
c) maintain and promptly update the Registration Data, and any other information you provide to Athlyts, and to keep it accurate, current and complete; and
d) accept all risks of unauthorized access to the Registration Data and any other information you provide to Athlyts. 3.2 You are responsible for all activity on your Athlyts account, and for all charges incurred by your Athlyts account.
4. Fees; Charges; Taxes
4.1 Fees and any other charges for the use of the Application and for any Add-ons are described on the website.
4.2 They may change from time to time.
4.3 If we change them, we will give you at least 30 days' notice.
4.4 If they do change, your continued use of the Application or the Add-ons, as the case may be, after the change indicates your agreement with the new fees and charges after the effective date of the change.
4.5 Any change to fees and other charges will not be applicable to the billing period in which the change occurs.
4.6 You are responsible for all taxes applicable to the fees and charges in any applicable jurisdiction, unless Athlyts is obliged by applicable law to do so.
4.7 Except when required by law, paid Subscription fees are non-refundable.
5. Ownership, Copyright and Trademarks
5.1 In these Terms the content available through the Services, including all information, data, logos, marks, designs, graphics, pictures, sound files, other files, and their selection and arrangement, is called "Content".
5.2 Content provided by Users, whether they are Subscribers, Athletes or other Users, is called "User Content". For example, data about its Athletes and about its entries that a Subscriber provides to the Services is User Content of that Subscriber, data about its recovery, training and injury status that an Athlete provides to the Services is User Content of that Athlete, and Content that a User enters into the Athlyts forum or enters as a comment on the Athlyts blog is User Content of the User.
5.3 User Content is that User's property. Athlyts's only right to that User Content is the limited licenses to it granted in these Terms.
5.4 Those licenses are described in Section 6 and Section 7 of these Terms.
5.5 Other than the User Content, the Services, all Content and all software available on the Services or used to create and operate the Services is the property of Athlyts or its licensors, and is protected by Swiss and international copyright laws, and all rights to the Services, such Content and such software are expressly reserved.
5.6 All trademarks, registered trademarks, product names and company names or logos mentioned in the Services are the property of their respective owners.
5.7 Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by Athlyts.
5.8 Your User Content is your responsibility. We have no responsibility or liability for it, or for any loss or damage your User Content may cause to you or other people.
5.9 Although we have no obligation to do so, we have the absolute discretion to remove, screen or edit without notice any User Content posted or stored on the Services, and we may do this at any time and for any reason.
5.10 You are solely responsible for maintaining copies of and replacing any User Content you post or store on the Services.
5.11 If you authorize third parties to access your User Content through the Services, you agree that we are permitted to provide to them the User Content, and also agree that we have no responsibility or liability for their use of such User Content.
6. Your Limited License of Your User Content to Athlyts
6.1 We do not claim any ownership interest in your User Content, but we do need the right to use your User Content to the extent necessary to operate the website and to provide the Services, now and in the future.
6.2 For example, if you leave comments on the Athlyts blog or posts on the Athlyts forum, we need your license to display that User Content on the Services, and we need the right to sublicense that User Content to our other Users so that they can view that User Content.
6.3 If you are a Subscriber and enter training information in relation to an Athlete and configure your account to display timesheet data to your Athletes, we need your license to that User Content to use it in the operation of the Services, and we need the right to sublicense that User Content to your Athletes for that purpose.
6.4 Therefore, by posting or distributing User Content to or through the Services, you:
a) grant Athlyts and its affiliates and subsidiaries a non-exclusive, royalty-free, transferable right to use, display, perform, reproduce, distribute, publish, modify, adapt, translate, and create derivative works from such User Content, in the manner in and for the purposes for which the Services from time to time use such User Content
b) represent and warrant that: i) you own and control all of the rights to the User Content that you post or otherwise distribute, or you otherwise have the lawful right to post and distribute that User Content, to or through the Services, and (ii) the use and posting or other transmission of such User Content does not violate these Terms and will not violate any rights of or cause injury to any person or entity.
6.5 If your User Content is intended for the use of other Users ( for example, if you send a training program to Athletes), you also grant us and our affiliates and subsidiaries a non-exclusive, royalty-free, transferable right to sublicense such User Content to such Users for their use in connection with their use of the Services, as described in Section 6 of these Terms.
6.6 These licenses from you are non-exclusive because you have the right to use your User Content elsewhere. They are royalty-free because we are not required to pay you for the use of your User Content on the Services. And they are transferable because we need the right to transfer these licenses to any successor operator of the Services.
6.7 Our rights to "modify, adapt, translate, and create derivative works from" are necessary because the normal operation of the Services does this to your User Content when it processes it for use in the Services.
7. Our Limited License of Content to You
7.1 Athlyts grants you a limited, revocable, non-exclusive, non-sublicensable license to access the Services and to view, copy and print the portions of the Content available to you through the Services.
7.2 Such license is subject to these Terms, and specifically conditioned upon the following:
a) you may only view, copy and print such portions of the Content for your own use;
b) you may not modify or otherwise make derivative works of the Content, or reproduce, distribute or display the Content (except for page cachi
g) except as expressly permitted in these Terms;
c) you may not remove or modify any copyright, trademark, or other proprietary notices that have been placed in the Content;
d) you may not use any data mining, robots or similar data gathering or extraction methods;
e) you may not use the Services or the Content provided for purposes of competing with the Services or the Content, or creating or helping to create a similar Services or Content; and
f) you may not use the Services or the Content other than for their intended purpose. 7.3 Except as expressly permitted above, any use of any portion of the Content without the prior written permission of its owner is strictly prohibited and will terminate the license granted in this Section, this Agreement and your account with us. Any such unauthorized use may also violate applicable laws, including without limitation copyright and trademark laws.
7.4 Unless explicitly stated herein, nothing in these Terms may be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise.
7.5 The license in this Section is revocable by Athlyts at any time.
7.6 Your use of any Add-on is governed by the End User License Agreement that applies to that Add-on, and not by Section 7 of these Terms and Conditions. That End User License Agreement is an agreement between you and the provider of that Add-on, and you acknowledge that that End User License Agreement is a binding agreement between you and that provider.
7.7 Your use of the Service through an Add-on, including any Content that may be delivered to you through the Add-on, is subject to this Section of the Terms.
7.8 You represent and warrant that your use of the Services and the Content will be consistent with this license and will not infringe or violate the rights of any other party or breach any contract or legal duty to any other parties or violate any applicable law.
7.9 To request permission for uses of Content not included in this license, you may contact Athlyts at the address set out at the bottom of these Terms.
8. Use of Interactive Areas and the Services
8.1 The Services may include discussion forums, bulletin boards, review services or other forums in which you or third parties may post reviews or other content, messages, materials or other items on the Services ("Interactive Areas").
8.2 If Athlyts provides such Interactive Areas, you are solely responsible for your use of such Interactive Areas and use them at your own risk.
8.3 User Content submitted to any public area of the Services will be considered non-confidential.
8.4 You agree not to post, upload to, transmit, distribute, store, create or otherwise publish through the Services any of the following:
a) Any message, data, information, text, music, sound, photos, graphics, code or other material that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable
b) Content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law
c) Content that may infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;
d) Content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity
e) Unsolicited promotions, political campaigning, advertising or solicitations
f) Private information of any third party, including, without limitation, addresses, phone numbers, email addresses and credit card numbers, unless that third party has expressly consented to such use
g) Viruses, corrupted data or other harmful, disruptive or destructive files;
h) Content that is unrelated to the topic of the Interactive Area
s) in which such Content is posted; or
i) Content that, in the sole judgment of Athlyts, is objectionable or which restricts or inhibits any other person from using or enjoying the Interactive Areas or the Services, or which may expose Athlyts or its affiliates or its users to any harm or liability of any type.
8.5 Athlyts has a "zero-tolerance" policy towards SPAM: you may not use the Interactive Areas or the Services generally to send commercial or other messages to any third-party if those messages are not solicited, authorized or welcomed by the third-party, and in your use of the Services you must comply with all applicable laws, including laws that apply in any jurisdiction to SPAM and marketing practices, and with any applicable marketing association guidelines on ethical marketing practices. 8.6 Any use of the Interactive Areas or other portions of the Services in violation of the foregoing violates these Terms and may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or the Services.
9. Providing a Reliable and Secure Service
9.1 At Athlyts we take reliability and security seriously. We put a great deal of effort into ensuring that our service operates all the time, and that it is a secure environment for your data. We use what we believe to be "best-of-class" hosting services and security technologies and services that we believe provide you with a secure and safe environment.
9.2 More information about these services and technologies is available on the website. However, no system is perfectly secure or reliable, the Internet is an inherently insecure medium, and the reliability of hosting services, Internet intermediaries, your Internet service provider, and other service providers cannot be assured. 9.3 When you use Athlyts, you accept these risks, and the responsibility for choosing to use a technology that does not provide perfect security or reliability.
10. No Responsibility for Third-Party Services, websites or Content
10.1 As a service to our users, the website may contain links to third-party websites ("Third-Party Websites") or third-party content ("Third-Party Content") and may provide third-party services ("Third-Party Services"), including Add-ons, payment processors and other payment intermediaries that you may use in connection with your use of the Services.
10.2 You use Third-Party Websites, Third-Party Content (together, the "Third Party Materials") or Third-Party Services at your own risk. Athlyts makes no claim or representation regarding Third-Party Materials and Third-Party Services and provides them or links to them only as a convenience.
10.3 Inclusion in the Services of Third-Party Materials does not imply Athlyts' endorsement, adoption or sponsorship of, or affiliation with, such Third-Party Materials.
10.4 Athlyts accepts no responsibility for reviewing changes or updates to, or the quality, content, policies, nature or reliability of Third-Party Materials, or websites linking to the Services.
10.5 When you leave the Services, our terms and policies no longer govern, and when you use Third-Party Services their terms and policies apply.
10.6 You should review applicable terms and policies, including privacy and data gathering practices, of any Third-Party Materials and Third-Party Services, and should make whatever investigation you feel necessary or appropriate before proceeding with any transaction with any third party.
10.7 In particular, Athlyts uses Stripe, Inc. ("Stripe") for payment processing. Stripe's terms of service (the "Stripe Terms") explain that process and are available here: https://stripe.com/terms. By accepting these Terms, you agree that you have reviewed the Stripe Terms and agree to them. Please note that Athlyts is not a party to the Stripe Terms and that we have no obligations or liability to you under the Stripe Terms or for any services that Stripe provides to you. If you have questions regarding Stripe or the Stripe Terms, please contact Stripe at https://www. stripe.com.
10.8 The provider of each Add-on is solely responsible for that Add-on, the content therein, any warranties to the extent that such warranties have not been disclaimed, any training, support or maintenance for the Add-on, and any claims that you or any other party may have relating to that Add-on or your use of that Add-on.
10.9 You acknowledge that you are purchasing the license to each Add-on from the provider of that Add-on; Athlyts is acting as agent for the provider in providing each such Add-on to you; Athlyts is not a party to the license between you and the provider with respect to that Add-on; and Athlyts is not responsible for that Add-on, the content therein, or any warranties or claims that you or any other party may have relating to that Add-on or your use of that Add-on.
10.10 You acknowledge and agree that Athlyts and its affiliates are third party beneficiaries of the End User License Agreement for each Add-on, and that, upon your acceptance of the terms and conditions of the license to any such Add-on, Athlyts will have the right (and will be deemed to have accepted the right) to enforce such license against you as a third party beneficiary thereof.
11. Advertisements and Promotions
11.1 Athlyts may run advertisements and promotions from third parties on the Services. Your business dealings or correspondence with, or participation in promotions of, advertisers other than Athlyts, and any terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party.
11.2 Athlyts is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of third-party advertisers on the Services.
12. Warranty Disclaimer
12.1 The Website, the Content, the Add-ons and the Services are provided to you on an "as is" basis without warranties from Athlyts of any kind, either express or implied.
12.2 Athlyts expressly disclaims all other warranties, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
12.3 Athlyts does not represent or warrant that Website, the Content, the Add-ons or the Services are accurate, complete, reliable, current or error-free.
12.4 While Athlyts attempts to make your access to and use of the Services safe, Athlyts does not represent or warrant that the Website, the Content, the Add-ons or the Services are free of viruses or other harmful components.
13. Limitation of Liability; Indemnity
13.1 Content found on Athlyts or through the Athlyts Services is for informational purposes only and is not intended to replace the relationship between you and your physician or other medical provider.
13.2 We are not a licensed medical care provider and have no expertise in diagnosing, examining, or treating medical conditions of any kind, or in determining the effect of any specific exercise on a medical condition.
13.3 You should consult with your physician before following any training instructions you receive through the Athlyts Services or participating in any event announced on or through the Athlyts Services.
13.4 Should you have any healthcare related questions, please call or see your physician or other healthcare provider promptly.
13.5 Should you have an emergency, call your physician or national emergency hotline number (112 for Europe, 911 for US) immediately.
13.6 You should never disregard medical advice or delay in seeking medical advice because of any content presented by Athlyts.
13.7 The transmission and receipt of our content, in whole or in part, or communication via the internet, e-mail or other means does not constitute or create a doctor-patient, therapist-patient or other healthcare professional relationship between you and us.
13.8 We are not responsible for any health problems that may result from training programs, products, or events you learn about through the Athlyts Services.
13.9 If you engage in any exercise program you receive or learn about through the Athlyts Services you agree that you do so at your own risk and are voluntarily participating in these activities.
13.10 Athlyts does not guarantee the accuracy, completeness, or usefulness of any training, injury prevention or nutritional information featured on Athlyts.
13.11 Athlyts neither adopts, endorses or accepts responsibility for the accuracy or reliability of any such information.
13.12 UNDER NO CIRCUMSTANCES WILL ATHLYTS BE RESPONSIBLE FOR ANY LOSS OR DAMAGE RESULTING FROM YOUR RELIANCE ON TRAINING, HEALTH, RECOVERY AND NUTRITIONAL INFORMATION PROVIDED on Athlyts.
13.13 You waive and shall not assert any claims or allegations of any nature whatsoever against Athlyts, its affiliates or subsidiaries, their sponsors, contractors, advertisers, vendors or other partners, any of their successors or assigns, or any of their respective officers, directors, agents or employees (collectively, the "Released Parties") arising out of or in any way relating to your use of the Website, the Content, the Add-ons or the Services, including, without limitation, any claims or allegations relating to infringement of proprietary rights, or allegations that any Released Party has or should indemnify, defend or hold harmless you or any third party from any claim or allegation arising from your use or other exploitation of the Website, the Content, the Add-ons or the Services.
13.14 You use the Website, the Content, the Add-ons and the Services at your own risk.
13.15 Without limitation of the foregoing, neither Athlyts nor any other Released Party shall be liable for any direct, special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of or inability to use the Website, the Content, the Add-ons or the Services, including without limitation any damages caused by or resulting from your reliance on the Website, the Content, the Add-ons or the Services or other information obtained from Athlyts or any other Released Party or accessible via the Website, the Content, the Add-ons or the Services, or that result from mistakes, errors, omissions, interruptions, deletion of files or email, defects, viruses, delays in operation or transmission or any failure of performance, whether or not resulting from acts of god, communications failure, theft, destruction or unauthorized access to Athlyts or any other Released Party's records, programs or services. 13.16 In no event shall the aggregate liability of Athlyts, whether in contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability or other theory, arising out of or relating to the use of the Website, the Content, the Add-ons or the Services exceed any compensation paid by you for access to or use of the Website, the Content, the Add-ons or the Services, as the case may be, during the three months prior to the date of any claim. 13.17 You shall defend, indemnify and hold harmless Athlyts and the other Released Parties from any loss, damages, liabilities, costs, expenses, claims and proceedings arising out of your use of the Website, the Content, the Add-ons and the Services, and if you are a Subscriber, from your Athletes' use of the Services and from the use of the Website, the Content, the Add-ons and the Services by any person to whom you give access to your account (including staff or advisors), including any claims made by any person that any of your, and if you are a Subscriber, your Athletes', User Content infringes the rights, including the intellectual property rights, of any third party.
14. Communications
14.1 Notices that we give you (other than notice of amendment of these Terms, which is discussed in the introduction of these Terms) may be provided in any number of ways, depending on the circumstances.
14.2 For example, we may email you or telephone you at the contact information you provide in your Registration Data. Or we may post a notice to Subscribers and Athletes in the dashboard area of your account on the website or post the notice elsewhere on the website. By accepting this Terms, you give us your consent to the aforementioned.
14.3 When we post notices on the website, we post them in the area of the website suitable to the notice. It is your responsibility to periodically review the website for notices. Subject to the Privacy Policy, if you send to Athlyts or post on the website in any public area any information, ideas, inventions, concepts, techniques or know-how ("User Submissions"), for any purpose, including the developing, manufacturing and/or marketing or products or services incorporating such information, you acknowledge that Athlyts can use the User Submissions without acknowledgement or compensation to you, and you waive any claim of ownership or compensation or other rights you may have in relation to the User Submissions.
14.4 We actively review User Submissions for new ideas. If you wish to preserve any interest you might have in your User Submissions, you should not post them to the website or send them to us.
15. Applicable Law and Venue
15.1 The Services of Athlyts are controlled by Athlyts AG and operated by it from its offices in Zurich, Switzerland. You and Athlyts both benefit from establishing a predictable legal environment in regard to the Services. Therefore, you and Athlyts explicitly agree that all disputes, claims or other matters arising from or relating to your use of the Website, the Content, the Add-ons or the Services will be governed by the national laws of Switzerland.
15.2 The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
15.3 Except where prohibited by applicable law, any claim, dispute or controversy (whether in contract or tort, pursuant to statute or regulation, or otherwise, and whether preexisting, present or future) involving Athlyts and arising out of or relating to
a) these Terms
b) the website, the Content, the Add-ons or the Services
c) oral or written statements, advertisements or promotions relating to these Terms or to the Website, the Content, the Add-ons or the Services, or
d) the relationships that result from these Terms or the Website, the Content, the Add-ons or the Services ( collectively, a "Claim"), will be referred to and determined by the ordinary courts of the canton of Zurich, Switzerland.
15.4 Except where prohibited by applicable law, you waive any right you may have to commence or participate in any class action against Athlyts related to any Claim and, where applicable, you also agree to opt out of any class proceedings against Athlyts.
15.5 If you have a Claim, you should give written notice of it at the address specified below.
15.6 If we have a Claim, we will give you a written notice.
15.7 If you choose to access the Services from locations other than the canton of Zurich, Switzerland, you will be responsible for compliance with all local laws of such other jurisdiction and you agree to indemnify Athlyts and the other Released Parties for your failure to comply with any such laws.
16. Termination/Modification of License and Website Offerings
16.1 Notwithstanding any provision of these Terms, Athlyts reserves the right, without notice and in its sole discretion, without any notice or liability to you, to
a) terminate your license to use the Services, or any portion thereof (including any use of any Add-on) and the rights of any third party to which you have granted access to your User Content
b) block or prevent your future access to and use of all or any portion of the Services or Content ( including any use of any Add-on) and the rights of any third party to which you have granted access to your User Content
c) change, suspend or discontinue any aspect of the Services or Content. and
d) impose limits on the Services or Content.
16.2 Should such access restriction be made by Athlyts, you shall be entitled to claim back any fees already paid for the remaining period after the blocking of use until the end of the agreed use by Athlyts. This refund is explicitly limited to the amount that has already been transferred by you to Athlyts. In this case please contact privacy@athlyts.com
17. Inactive Accounts; Termination of Agreement
17.1 If your account is inactive for at least three months, we may deactivate your account.
17.2 Deactivated accounts are not deleted – they are placed in storage and can be restored.
17.3 We will notify you by email if we decide to deactivate your account.
17.4 If you know in advance that your account will be inactive at some time and don't want us to deactivate it, let us know in advance at privacy@athlyts.com.
17.5 If after your account has been deactivated it stays inactive and we don't hear from you, we may terminate it at any time and without notice.
17.6 You and Athlyts may terminate your use of the Services including your agreement to these Terms at any time.
17.7 If you terminate your use of the Services you must pay the fees applicable for the balance of the then current billing period (if your billing period is monthly, we will prorate your account to the nearest month-end after termination) including for any Add-ons you may be using.
17.8 When your Athlyts account is terminated, your User Content will, shortly thereafter, not appear on the Services, except for User Content submitted to public areas of the website such as the blog, forum, or product reviews, which may remain on the website after termination.
17.9 If your User Content includes personal information and if the purpose for which the data have been collected no longer exists, we delete the User Content or anonymize it accordingly that the data can no longer be traced back to you. Notwithstanding the aforesaid, if required by law, we may retain an archival copy of your User Content after termination.
17.10 If these Terms expire or terminate for any reason, Sections 5, 6, 7, 8, 10, 11, 12, 13 and 19 and any representation or warranty you make in these Terms, shall survive indefinitely.
18. Accounts of children/underage minors
18.1 Any user who is under the age of 16 is considered to be an underage minor, and any account they create must be approved by a parent or legal guardian. To continue using the Athlyts platforms and services, the minor must request the consent of their parent or legal guardian, following the in-app consent request process.
18.2 The platform can limit the data which can be shared between the account of a minor and their coaches, trainers or third parties until legal consent is provided by the parent.
18.3 We reserve the right to limit, terminate or cancel any account created by a minor who fails to provide parental consent within 1 month after the date of account creation.
19. Miscellaneous
19.1 If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
19.2 Athlyts is permitted to commission subcontractors but remains responsible for fulfilling its duties.
19.3 Athlyts may assign any or all of its rights hereunder to any party without your consent.
19.4 You are not permitted to assign any of your rights or obligations hereunder without the prior written consent of Athlyts, and any such attempted assignment will be void and unenforceable.
19.5 These Terms constitute the entire agreement between you and Athlyts regarding your use of the website, the Content, the Add-ons and the Services, and supersede all prior or contemporaneous communications whether electronic, oral or written between you and Athlyts regarding your use of them. Additional agreements in which we enter with you personally (e.g. as an athlete or coach) and which contain provisions deviating from these Terms are explicitly reserved.
19.6 The parties confirm that it is their wish that these Terms, as well as any other documents relating to this Terms, including notices, have been and shall be drawn up in the English language only.
